Buying or selling a business isn't just signing a purchase agreement. There is a great deal of risk involved.. I review, draft, and negotiate asset purchase agreements for buyers, sellers, and investors, and I tell you upfront where your risks are before you're locked into the deal.
Most disputes I see after closing go back to the same thing: a term in the agreement that seemed fine at signing and turned out to mean something different once money was on the line. Representations that weren't phrased tightly enough. An indemnity cap that didn't account for post-closing exposure. A schedule that left out a liability everyone assumed was excluded. That's what AI can't do, but a lawyer can: catching the issue before it's a problem, not untangling it after.
What I Handle
Drafting. I prepare and negotiate purchase terms, warranties, indemnities, and closing conditions so the agreement actually reflects what you negotiated. I don't use a boilerplate that leaves gaps. Every sale/purchase has its own risk profile; your agreement should be built around your specific business.
Review. If you already have a contract, letter of intent, schedules, or other deal documents in hand, I'll go through them for unclear language, missing provisions, and terms that favor the other side. It is far better to catch these issues before signature than after. Once you've signed, your leverage to renegotiate is gone.
Transaction Counsel. Mergers, acquisitions, asset sales, and related commercial deals. I work to get the deal closed while protecting your position throughout: due diligence, negotiation, and closing coordination, not just document review.
Document Consultation. Our representation covers document review, legal assessment, risk analysis, and recommended next steps, so you know where you stand before committing further time or money to a deal that may need restructuring.
Entity Structuring. LLCs, corporations, and other entities structured or updated to match how the deal is actually organized and owned. Getting the entity right matters for liability exposure and tax treatment alike, and it's easy to get wrong when it's handled as an afterthought.
Risk Identification. Regulatory, contractual, and operational exposure flagged early.
How I Work a Transaction
I start by understanding your goals and reviewing whatever's been drafted so far. From there: risk analysis, targeted revisions, negotiation of the terms that matter, and closing documents finalized cleanly. I don't pad the process or run up unnecessary review cycles. I work with you to flag what's material and move the deal forward.
Who This Is For
Buyers who need the agreement to protect them if something turns out different than represented. Sellers who want clean terms and a defined end to their liability. Investors evaluating a transaction who need an independent read on the risk. Business owners on either side of a deal who want someone who's actually closed transactions like theirs, not just reviewed the form.
About Me
I'm Crystal Golm, a Florida Bar-licensed attorney focused on real estate and business law, and I've closed hundreds of millions of dollars in commercial transactions. I built this practice on giving clients direct, practical counsel. I tell you what the risk actually is and what your options are, not just what you want to hear. If a deal needs to be restructured or a term needs to be renegotiated, I'll say so plainly.
